Terms of Service

1. Agreement

By accessing or using DVNC Cloud ("Service"), operated by DAVINCI HORIZON - FZCO ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

DVNC Cloud is a project management and client collaboration platform for design and development services. The Service includes project proposals, task management, invoicing, file sharing, and communication tools.

3. Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these terms.

4. Payments

  • Payment terms are defined in your project proposal and accepted upon signing.
  • Payments may be processed via bank transfer or Stripe Checkout, as specified in each invoice.
  • All fees are non-refundable unless explicitly stated otherwise in your project agreement.
  • Late payments may incur additional fees as outlined in your proposal terms.

5. Intellectual Property

  • All deliverables and source files are transferred to the client upon final payment as specified in the project proposal.
  • Until final payment is received, all work product remains the property of the Company.
  • The Company retains the right to showcase completed work in portfolios unless otherwise agreed.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation survives termination of the agreement.

7. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

8. Termination

Either party may terminate the engagement with written notice. Upon termination, any outstanding invoices remain due. Access to the Service may be revoked upon termination.

9. Governing Law

These terms are governed by the laws of the United Arab Emirates. Disputes shall be resolved through arbitration in Dubai, UAE.

10. Changes

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated terms.
